1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”) and Citadel Systems LLC, a Florida limited liability company located in West Palm Beach, Florida (“Citadel Systems,” “we,” “us,” or “our”). By engaging our services, signing a service agreement, or authorizing any payment, you agree to be bound by these Terms.

2. Services
Citadel Systems provides digital marketing services including, but not limited to:
- Website design and development
- Social media management and content publishing
- Paid advertising management (Google Ads, Facebook Ads, Instagram Ads)
- Digital marketing strategy and consulting
The specific services, deliverables, and scope of each engagement are defined in a written service agreement or proposal provided to the Client prior to the commencement of work. No services will begin until a proposal or agreement has been accepted by the Client.
3. Billing and Payment
Services are provided on a weekly retainer, monthly retainer, or one-time project fee basis, as specified in your service agreement.
- Recurring billing: Clients on a weekly or monthly retainer are billed automatically on the same day each week or month. By authorizing a recurring payment, you authorize Citadel Systems to charge your payment method on a recurring basis until the engagement is cancelled in accordance with these Terms.
- One-time projects: Project fees are billed as outlined in your proposal, typically as a deposit upon signing and the remainder upon project completion or at agreed milestones.
- Payment processing: All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the agreed amount to your designated payment method.
- Late payments: If a payment fails or is not received by the due date, services may be paused until payment is resolved. We will notify you by email before suspending any active campaigns or deliverables.
4. Refund Policy
Due to the custom, labor-intensive nature of digital marketing services, the following refund terms apply:
- Work not yet started: If a project has not yet commenced and you cancel within 48 hours of payment, you are entitled to a full refund.
- Work in progress: If work has begun on any deliverable, fees for completed work or work in active progress are non-refundable. A pro-rated refund for work not yet started may be issued at our discretion.
- Retainer payments: Fees paid for a completed billing period (weekly or monthly) are non-refundable. Cancellation stops future billing but does not entitle the Client to a refund for the current period already billed.
- Disputes: All refund requests must be submitted in writing to zach@distrify.ai within 14 days of the billing date. We will respond within 5 business days.
5. Cancellation Policy
Either party may cancel an ongoing service engagement as follows:
- Client cancellation: Clients on a weekly or monthly retainer may cancel at any time by providing 30 days written notice sent to zach@distrify.ai. Cancellation takes effect at the end of the 30-day notice period. You will continue to be billed during the notice period for active services rendered.
- Immediate cancellation: If you wish to cancel immediately without serving the notice period, the remaining balance for the notice period may be charged as a cancellation fee, as outlined in your service agreement.
- Project engagements: One-time project engagements may be cancelled prior to project kickoff for a full refund of any deposit paid. Once active work has commenced, deposits and milestone payments are non-refundable.
- Our right to cancel: Citadel Systems reserves the right to terminate any engagement immediately if a Client violates these Terms, engages in abusive conduct toward our team, or fails to make payment after reasonable notice.
6. Client Responsibilities
To allow us to deliver services effectively, the Client agrees to:
- Provide timely access to required accounts, assets, and information
- Respond to requests for approval or feedback within a reasonable timeframe
- Ensure that all content, logos, and materials provided to us are owned by you or properly licensed
- Keep billing information current and valid
7. Intellectual Property
Upon receipt of full payment for a completed project, the Client owns all custom deliverables created by Citadel Systems specifically for that engagement, including website designs and original written content. Citadel Systems retains the right to display completed work in its portfolio unless the Client requests otherwise in writing. Any pre-existing tools, frameworks, templates, or proprietary methods used in delivery remain the property of Citadel Systems.
8. Results Disclaimer
Digital marketing results vary based on industry, competition, budget, market conditions, and other factors outside our control. Citadel Systems does not guarantee specific outcomes, revenue increases, lead volumes, or return on investment. Any figures or examples referenced on our website reflect individual client experiences and are not representations of typical or guaranteed results.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Citadel Systems LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or website, even if advised of the possibility of such damages. Our total liability to any Client for any claim arising from a service engagement shall not exceed the total fees paid by that Client in the 30 days preceding the claim.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, including business strategies, customer data, and financial information. This obligation survives termination of the service agreement.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of Florida, United States. Any disputes arising from these Terms or a service engagement shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration or litigation in Palm Beach County, Florida, at the election of Citadel Systems.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our services after an update constitutes acceptance of the revised Terms. We will make reasonable efforts to notify active clients of material changes via email.
